Terms of Service

These Terms of Service are version 2026-09-11-v2 and are effective as of 11 September 2026.

These Terms govern access to and use of VolteraForge, including contractor workspaces, related customer-account experiences, and public account flows.

VolteraForge is operated by Torkiva Inc. These Terms form an agreement between Torkiva Inc. and the organization or person accepting them on behalf of an authorized business account. Torkiva Inc. is the legal service provider and contracting company. VolteraForge is the product and service name.

By creating an account, accepting an invitation, purchasing a subscription, or using the service, you agree to these Terms and represent that you have authority to bind the company or organization you act for.

The service is intended for business use by contractor organizations and their authorized users, and for customer-account users invited into supported customer experiences.

Keep account credentials confidential, maintain accurate account information, and promptly report suspected unauthorized access. You are responsible for activity performed through accounts you authorize, subject to applicable law.

A contractor organization controls its workspace, company memberships, customer records, permissions, and customer-publication choices. Workspace administrators are responsible for assigning and revoking access appropriately.

Customer accounts are separate from contractor team accounts and receive only records made available through the applicable customer experience.

You may use the service only for authorized, lawful business purposes and in accordance with the Acceptable Use Policy, these Terms, and applicable law. You are responsible for the lawfulness of data and documents you upload or publish.

Paid access follows the plan, billing interval, and price shown during signup, checkout, or the in-product billing experience available to your account. Public pricing pages describe current Starter and Professional self-serve options and sales-assisted Business positioning. Enterprise arrangements, where offered, are subject to a separate written agreement.

Monthly and annual billing intervals are available when the selected plan is offered on that interval. Stripe processes supported SaaS subscription payments. VolteraForge does not display full payment-card details.

Stripe subscriptions renew automatically for successive billing periods unless cancellation or another change takes effect according to the provider-confirmed subscription state. Taxes may be added by the payment provider or otherwise as required.

Plan upgrades, downgrades, and interval changes follow the in-product change-plan workflow when that workflow is available for your subscription. Certain upgrades can take effect immediately with possible proration after verified Stripe events. Downgrades, annual-to-monthly changes, and other lower-priced changes are scheduled for the next renewal so current paid access continues until the effective date. Cancellation is available through the Stripe Billing Portal when billing-portal access is enabled for your subscription and is processed as cancel-at-period-end based on verified provider events.

VolteraForge records contractor invoices, receivables, statuses, and manual payment evidence for contractor customer billing workflows. It does not collect, settle, or refund contractor-to-customer invoice payments. SaaS subscription billing through Stripe is separate from contractor invoice payment collection.

As between the parties, the customer retains its rights in information and files submitted to the service. The customer grants Torkiva Inc. the limited rights reasonably necessary to host, process, transmit, display, secure, back up, and support that content for VolteraForge service operation.

Torkiva Inc. and its licensors retain all rights in the VolteraForge service, software, designs, documentation, and related technology. Access is a limited, revocable, non-transferable licence for the subscribed business purpose and does not transfer ownership of the service.

If you provide feedback, Torkiva Inc. may use it to operate and improve VolteraForge without obligation to you, subject to confidentiality and privacy obligations for customer content.

Extracted text, OCR output, visual analysis, and Drawing Chat Beta responses are assistive and may be incomplete or incorrect. Source grounding assists review but does not guarantee correctness. Original drawings, specifications, contracts, codes, and qualified professional judgment remain controlling.

The service does not guarantee electrical design, code compliance, safety, permitting, legal, tax, accounting, engineering, or automated takeoff outcomes.

The service may interoperate with infrastructure, payment, email, monitoring, object-storage, OCR, AI, rate-limiting, and related providers. Availability of a feature that relies on a third-party provider may depend on that provider, your plan, and whether the feature is enabled for your account.

Third-party services may be governed by their own terms. Public provider details, when published, appear in the Privacy Policy, Trust Center, or an applicable agreement.

Torkiva Inc. may restrict or suspend access to VolteraForge when reasonably necessary to protect users, the service, or third parties, or to address unlawful use, abusive use, security risk, material breach, payment status, or provider restrictions.

Either party may end access as permitted by the subscription, an applicable order, these Terms, and applicable law. Upon termination or expiry, the right to access the service ends. Customers should use available export features for records they need before access ends.

Retention, archival, and deletion follow operational, contractual, backup, audit, and legal requirements. Immediate or guaranteed deletion of every copy is not promised unless an applicable agreement expressly states otherwise.

Service availability may be affected by maintenance, third-party services, security events, and circumstances outside reasonable control. These Terms do not promise uninterrupted availability, exact uptime, guaranteed backup recovery, or guaranteed cybersecurity outcomes.

To the maximum extent permitted by law, the service is provided on an as-available basis without warranties of merchantability, fitness for a particular purpose, or non-infringement beyond those that cannot be excluded. Mandatory statutory rights are not excluded.

To the maximum extent permitted by law, Torkiva Inc.'s aggregate liability arising out of or relating to the service or these Terms is limited to the amounts paid by the customer to Torkiva Inc. for the VolteraForge service during the twelve months before the claim. Torkiva Inc. is not liable for indirect, incidental, special, consequential, or lost-profit damages to the extent such limitation is permitted by law.

The customer will defend and indemnify Torkiva Inc. against third-party claims arising from customer content, unlawful instructions, or use of the service in violation of these Terms or applicable law, except to the extent caused by Torkiva Inc.'s willful misconduct.

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles. The courts of the Province of Alberta located in Calgary, Alberta, have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any non-waivable rights that may apply.

Torkiva Inc. may publish updated Terms with a new version label and effective date. If a material update requires renewed acceptance, VolteraForge will present that requirement through its acceptance workflow when that workflow is used for the change.
